Examples of work undertaken by our lawyers

    • Advising Zenith Energy Ltd, a main market and TSXV exchange dual listed natural resources company, on its proposed secondary fundraising through an institutional placing with UK institutional investors. The transaction required the issue of a full prospectus approved by the UK Listing Authority.
    • Acting as lead legal advisor on the recently launched global sailing series SailGP, with events staged in the U.S., Australia, France, the UK, and many other countries. Advise has included structuring and protection of the commercial and intellectual property rights for each of the SailGP country teams, and strategic input on the negotiation of key sponsorship and commercial partnership arrangements with global brands, including Rolex, Jaguar Land Rover, Louis Vuitton and many more global luxury brands.
    • Advising the sellers of Charles Campbell Associates (2000) Limited, the market leading international clinical contract research business, on its sale to its competitor based in the U.S., Atlantic Research Group Limited.
    • Representation of Randolph College, Virginia, U.S, in its sale of the George Bellows painting “Men of the Docks” to the National Gallery, London, for U.S. $25.5 million.
    • Representation of TEOCO, a leading U.S. provider of Assurance, Analytics and Optimization solutions to Communications Service Providers (CSPs) worldwide, in its acquisition of AIRCOM International, a network design and optimisation software and solutions provider. Advice included competition, data privacy and cyber security issues. The combined company will serve a global base of more than 300 CSP customers across more than 100 countries, from its office locations in over 15 countries.
    • Advice to NYSE listed Teledyne Technologies Incorporated on its acquisition of UK-based, AIM listed Intelek PLC worth approximately £30 million.
    • Advice to Afton Chemical Corporation, a wholly owned subsidiary of NYSE company NewMarket Corporation, on its acquisition of the Polartech Group of Companies (in Canada, China, Germany, Hungary, India, Singapore, Switzerland, the UK and the U.S.), including structuring competition and data privacy issues.
    • Representation of Taghmen Energy pls (now Petrolatina Energy pls), a U.S. owned UK company on its acquisition of a Guatamalan oil company and raising circa U.S. $30m on a private placement.
