Hamlins LLP acts on the Acquisition of Arlo & Jacob

By Aselle Djumabaeva-Wood

We are delighted to have assisted Arlo Living Limited, a new SPV incorporated by Mark Smith, the CEO of our longstanding client the upholstery group, TCM living Limited, together with his wife Julie on the acquisition of the well-known online and physical soft furniture retailer Arlo & Jacob out of administration.

Given the insolvent status of the target business the Hamlins team was required to act on a tight timescale to acquire out of administration the business and assets of Arlo & Jacob and the physical retail sites across the UK from which the prestigious brand operates.

The transaction called on specialisations from within the Firm including intellectual property, real estate, IT and commercial contracts in addition to corporate expertise.

Mark Smith, the owner of the buying vehicle stated “We have had a long standing relationship with the Hamlins team whose professional integrity and quality of work is never compromised by the speed at which we require them to get the job done. They know their craft well and walk the extra mile. Always at the end of the phone and never kept waiting. We also appreciate working with people that care for our team and company mission and vision on a personal level. Hamlins are not just our lawyers but our partners’.

The Hamlins Corporate team has an enviable reputation advising on all aspects of corporate law, specialising in public and private mergers and acquisitions, private equity investments and fundraisings and equity capital markets transactions including flotations and secondary offerings on the Official List and AIM.
